This document is a representative example of the type of Statement of Work ("SOW") that Solven may use for client engagements. It is not a live offer, proposal, or binding agreement.
The purpose of this example is to help prospective clients understand the general structure and expectations of a typical engagement before formal discussions begin.

Timelines are estimates, not guaranteed deadlines. Delays caused by Client inaction or third-party issues may shift the schedule.

Invoices are due within 10 calendar days of issue. Late payments may accrue interest as described in the Client Services Terms.
Additional work outside the stated scope will be quoted separately and requires written approval before work begins.
This SOW includes [X] rounds of revisions per deliverable phase. Each revision round includes feedback collected in a single consolidated response.
Additional revision rounds are billed at $[Amount]/hour or as separately quoted.
Revisions that materially alter the project scope or direction are subject to Section 7 (Changes to Scope) of the Client Services Terms.
Client has 5 business days to review and accept or reject each deliverable. Rejection must state specific non-conformance with the agreed scope.
Silence after the review period constitutes deemed acceptance. Use of a deliverable in production constitutes acceptance.
Upon full payment, Client receives a non-exclusive, perpetual, royalty-free license to use the final approved deliverables for Client's business purposes.
Solven retains ownership of all pre-existing materials, tools, libraries, and reusable components.
Third-party and open-source components remain subject to their own license terms.
Solven may describe the project in its portfolio after public launch, in a factually accurate, non-confidential manner.
Both parties will protect the other's non-public confidential information using reasonable care, and will use such information only for the purposes of this engagement.
Confidentiality obligations survive for three (3) years after the engagement ends.
Either party may terminate this SOW for material breach not cured within 10 business days of written notice.
Either party may terminate for convenience upon 15 calendar days' written notice.
Upon termination, Client pays for all work completed to date. IP rights transfer only for fully paid deliverables.
This SOW incorporates the Solven Studio Client Services Terms by reference. In the event of a conflict, this SOW controls.
This SOW, together with the Client Services Terms, constitutes the entire agreement between the parties with respect to the subject matter described herein.
This is a sample document. In an actual engagement, this section would contain signature blocks for both parties with printed names, titles, dates, and signatures.
Electronic signatures (e.g., DocuSign, HelloSign, typed name with email confirmation) are accepted as binding.
